General Partner Terms

1. Core Cooperation Principles
This cooperation is based on a full-partnership model without financial burden for the Land Owner:
- No Cost: PayParq covers all implementation, system digitalization, and marketing visibility costs.
- No Risk (Managed Model): Under the Managed Model the Owner invests no funds of their own and PayParq handles active management, so earnings are generated exclusively from realized traffic. Under the Operator and Airbnb models the Owner continues to operate the parking and bears the related operational responsibility and risk.
- No Contract Lock-In: The partnership is flexible. The Owner may terminate cooperation at any time with prior notice, without exit fees.
2. Commission and Service Models
PayParq offers three cooperation models. Platform fees (the service fee, and where applicable the airport fee) are always added on top and paid by the driver — they are never deducted from the Owner's earnings.
A. Operator Model — your price + 20%
For parking operators. The Operator sets its own price and keeps 100% of it. PayParq adds 20% on top of the Operator's price (plus platform fees for online payment); the driver sees and pays that total. Two payment modes:
- Pay on arrival: the driver books for free and pays the full price (Operator's price + 20%) to the Operator on arrival. PayParq invoices the Operator monthly for the 20% of every booking made through PayParq, payable by the 15th of the following month. A booking the Operator reports as a no-show within 7 days is checked with the driver and removed from the invoice if the driver confirms they did not arrive. Bookings not reported, or where the driver does not confirm a no-show, are invoiced in full.
- Digital payment: the driver pays the full price online through PayParq. The Operator receives 100% of its own price, paid out monthly by the 15th of the following month. Default for monthly-rent lots.
The Operator may not charge PayParq drivers less than the price shown on PayParq or redirect them to book outside PayParq. Invoices unpaid after their due date allow PayParq to pause the listing until paid.
B. Airbnb Model — 25% + fees
For private owners. PayParq retains 25% of the parking price; the Owner keeps 75%. Platform fees on top. Includes the QR/LPR digital payment system, Google Maps listing, customer support, and marketplace exposure.
C. Managed Model — 50% + fees
PayParq retains 50% of the parking price (25% commission + 25% management); the Owner keeps 50%. Platform fees on top. Full active management: personalized signs, mobile LPR system, terrain marking and review management, SEO/GEO optimization, promotion across all relevant channels, and intensive social-media marketing for maximum occupancy.
Enforcement: for improper parking, the Owner receives a fixed €10 per resolved case.

3. PayParq Obligations and Management
PayParq undertakes complete technical and operational support:
- Implementation: Placement of QR codes and terrain marking.
- Payment Processing: Secure collection from domestic and international users (cards, Apple Pay, Google Pay).
- Transparency: Owner has 24/7 real-time traffic visibility through the partner interface.
- Maintenance: Regular software updates and system functionality maintenance.
4. Land Owner Obligations
The Land Owner agrees to:
- Ensure access: Allow unobstructed access to the land for users who paid parking.
- Maintain order: Keep basic cleanliness and terrain accessibility.
- Priority: During cooperation, PayParq is the primary system for digital parking collection at the location.
5. Partners and Responsibility
This platform is the result of cooperation between international and local experts:
- Principal: PayParq (Indirektno, Vl. Karlo Žamić)
- Croatian operating partners: Local expert team (PayParq team) responsible for direct communication, on-site technical support (Dalmatia and the rest of Croatia), and signalization setup.
6. Earnings Payout and Dispute Resolution
Payout: Earnings are processed monthly via the Stripe platform. PayParq does not manage the owner's money. Earnings for a given month are paid to the Owner's account the following month, no later than the 15th. Earnings are calculated after processing fees and costs.
Jurisdiction: All disputes will be resolved amicably. If needed, the court in Split has jurisdiction.
Final note: This model enables the Owner to convert underutilized land into passive income without operational burden, while PayParq and local operating partners assume full system management and risk.
7. Addendum
1) Exclusion of liability for failed collection (user risk)
PayParq acts as an intermediary and management platform. Although the system uses advanced control methods (scanners, barriers), PayParq does not guarantee 100% collection from every individual user. The Land Owner accepts that commission is calculated exclusively on actually collected transactions. PayParq is not obliged to compensate potential lost profit for vehicles that used parking without a valid digital transaction, but will take all technical measures to minimize such cases.
2) Protection against misdemeanor and criminal liability
Under Croatian law, liability for illegal parking, parking non-payment, or traffic obstruction lies exclusively with the vehicle driver, not with the Land Owner or the platform operator. Where intervention by authorities is required, PayParq provides technical documentation, while all costs and procedural risks are borne by the vehicle owner.
3) Exclusion of liability for vehicle damage
Neither the Land Owner nor PayParq is liable for theft of valuables from vehicles, damage caused by third parties, or damage caused by force majeure. The Land Owner is released from user damage claims provided the damage occurred in the ordinary use of parking.
4) Legal protection (Indemnification)
PayParq and local operating partners undertake to defend the Land Owner against all unfounded legal claims arising from PayParq software operating errors. The Land Owner is protected from legal dispute costs arising exclusively from the operation method of the collection system.
8. Data Protection (GDPR)
8.1 Roles
When PayParq shares booking data with a Partner (operator, land owner or integration partner, including via the booking API), each party acts as an independent controller for its own processing. From the moment the data is received, the Partner alone is responsible for how it stores, uses and protects it. PayParq is not a processor for the Partner and is not responsible for the Partner's processing.
8.2 Data and purpose
PayParq may share only the data needed to fulfil a booking: booking number, licence plate, arrival and departure time, and the driver's name, e-mail and phone. The Partner may use it solely to admit and serve the driver, handle that booking and meet its legal obligations. Marketing, profiling, resale or disclosure to any third party is prohibited without PayParq's prior written consent.
8.3 Security
The Partner keeps the data confidential, limits access to staff who need it for the booking, and applies appropriate technical and organisational measures (GDPR Art. 32). The data may not be transferred outside the EEA without PayParq's prior written consent and appropriate safeguards.
8.4 API keys
API keys are confidential and scoped to the Partner's own location. The Partner is fully responsible for any use or misuse of its key, must report a lost or exposed key immediately, and accepts that PayParq may suspend or revoke the key or the data feed at any time, without liability, if it suspects a breach of this section.
8.5 Retention
The Partner keeps driver contact data no longer than needed for the booking, complaints and its statutory obligations, and in any case deletes or anonymises it within 12 months after departure unless the law requires longer. On termination of the cooperation the Partner deletes all data received from PayParq within 30 days and confirms this in writing on request.
8.6 Data breaches
The Partner notifies PayParq in writing without undue delay, and at the latest within 24 hours of becoming aware, of any personal data breach involving data received from PayParq, and cooperates fully in containing it and in any notification to the authority or drivers.
8.7 Drivers' rights
Each party handles data subject requests for its own processing. The Partner forwards to PayParq, within 5 days, any request that concerns PayParq's processing.
8.8 Liability and indemnity
The Partner indemnifies and holds PayParq harmless from all fines, claims, damages and costs (including reasonable legal fees) arising from the Partner's breach of this section or of data protection law. To the extent permitted by law, PayParq's total liability under this section is limited to direct damage caused by its own breach and capped at the fees PayParq received from the Partner in the 12 months before the claim.
8.9 Compliance and precedence
On request the Partner confirms its compliance with this section in writing. This section prevails over any other provision of these terms on data protection and is governed by the GDPR (EU 2016/679) and Croatian law.
